EVSE Modern Slavery Policy

1. Introduction

EVSE New Zealand Limited (the “Company”) is committed to operating responsibly and establishing and adhering to the highest ethical standards. We recognize our responsibility to ensure that modern slavery and human trafficking are not present in our business operations or supply chains. This policy outlines our commitment to preventing modern slavery and human trafficking in all its forms and our approach to addressing the risks within our business and supply chains.

2. Scope

This policy applies to all employees, contractors, consultants, suppliers, and other business partners of EVSE New Zealand Limited. It covers all operations and activities conducted by the Company.

3. Definitions

· Modern Slavery: Practices including slavery, servitude, forced and compulsory labor, and human trafficking.

· Supply Chain: All parties involved, directly or indirectly, in fulfilling a business requirement, including suppliers, subcontractors, distributors, and other third parties.

4. Policy Statement

EVSE New Zealand Limited has zero tolerance for modern slavery and human trafficking. We are committed to acting ethically, with integrity, and transparently in all business dealings. We will implement and enforce effective systems and controls to ensure modern slavery is not taking place anywhere within our own business or in any of our supply chains.

5. Commitments

5.1 Risk Assessment and Due Diligence

· Conduct regular risk assessments of our operations and supply chains to identify and mitigate the risks of modern slavery.

· Implement due diligence procedures for evaluating and selecting suppliers, ensuring they comply with legal and ethical standards against modern slavery.

5.2 Supplier Engagement and Requirements

· Require suppliers to adhere to the principles of this policy and include anti-slavery provisions in supplier contracts.

· Expect suppliers to have their own policies and procedures in place to prevent modern slavery and to provide training for their staff.

5.3 Training and Awareness

· Provide training for employees on modern slavery, recognizing signs, and the steps to take if they suspect any form of modern slavery.

· Promote awareness of this policy and our commitment to preventing modern slavery among employees, suppliers, and business partners.

5.4 Reporting and Whistleblowing

· Encourage employees and other stakeholders to report any concerns related to modern slavery or human trafficking without fear of retaliation.

· Provide clear reporting mechanisms and ensure all reports are taken seriously, investigated promptly, and appropriate actions are taken.

5.5 Continuous Improvement

· Review and update this policy regularly to ensure it remains effective and compliant with applicable laws.

· Monitor and assess the effectiveness of the measures implemented to combat modern slavery and make improvements as necessary.

6. Responsibilities

· The Board of Directors has overall responsibility for ensuring this policy complies with legal and ethical standards.

· Management at all levels is responsible for implementing this policy, ensuring compliance, and addressing any issues related to modern slavery.

· All employees are expected to comply with this policy and report any concerns or suspicions of modern slavery.

7. Compliance

Failure to comply with this policy may result in disciplinary action, including termination of employment or contracts. In cases where modern slavery is identified, EVSE New Zealand Limited will take appropriate corrective actions and work to ensure the affected individuals are supported.

8. Policy Review

This policy will be reviewed annually and updated as necessary to reflect changes in legislation, best practices, and company operations.

9. Approval

This Modern Slavery Policy is approved by the Board of Directors of EVSE New Zealand Limited and is effective as of the third of March, 2024.
